Before submitting a membership request, you must familiarise yourself with the Kalkadoon Rule Book and the Membership Rules.

We reserve the right to reject membership application for members who are currently on other Corporations.

Membership applications maybe considered and approved by the board once a month.

Step 1: Membership Rules

3. Membership

Note: See also Chapter 4 of the CATSI Act, reg.4 of the PBC Regulations

3.1 Who are the Members?

Note: See also s.138-1 of the CATSI Act The Members are:

(a) all those persons whose names were recorded as the names of the Members in the application for registration of the Corporation, and

(b) all those persons who become Members of the Corporation after its registration and whose names are entered on the Register of Members in accordance with these Rules and the CATSI Act.

3.2 Members on registration

(a) All those persons whose names were recorded as the names of the Members in the application for registration of the Corporation become Members when the Corporation is registered in accordance with the CATSI Act.

(b) These Members names must be recorded in the Register of Members.

3.3 How does a person become a Member?

Note: See Division 144, Part 4-2 of the CATSI Act A person becomes a Member if:

(a) the person meets the Membership Criteria; (b) the person applies for Membership as provided in Rule

3.5; (c) the application is accepted as provided in Rule

3.7; and (d) the person’s name is entered on the Register of Members pursuant to Rules 3.7 and 3.10.

3.4 Membership criteria

Note: See also sections 141-20 & 141-21 of the CATSI Act

A person may only be a Member if he or she:

(a) is a Kalkadoon Person;

(b) identifies as a Kalkadoon Person and is accepted by the Kalkadoon People according to Kalkadoon traditional law and custom; and

(c) is at least 15 years of age


3.5 Application for membership

Note: See also section 144-5 of the CATSI Act; see Schedule 2 – Application for Membership form

(a) A person who wants to become a Member of the Corporation must apply to the Corporation in writing.


3.6 Consideration of application by the Board

Note: See also section 144-10 of the CATSI Act

(a) An application for Membership made in writing and complying with Rule 3.5 is to be considered and determined by the Board as soon as practicable after the application is made.

(b) To help it make a decision on an application, the Board may seek further information or advice from the person and/or from any other person (including knowledgeable elders, the Representative Body or an anthropologist) or any documentary source (including official records of births deaths and marriages).

(c) The Board is to consider and decide whether the applicant meets the Membership Criteria.

(d) The Board must not accept an application for Membership of the Corporation unless the applicant:

(i) applies in accordance with Rule 3.5; and (ii) meets all the Membership Criteria.

3.7 Accepted application – Member’s name to be entered in Register of Members

Note: See also section 144-10(5) of CATSI Act

(a) If the Board decides that an applicant for Membership meets the Membership Criteria, the Directors must ensure that, in compliance with section 144-10 of the CATSI Act, the person’s name is entered on the Register of Members.

(b) The Corporation must, in compliance with section 144-10 of the CATSI Act, ensure that an applicant’s name is entered on the Register of Members within 14 days of the Board’s acceptance decision.

(c) However, if:

(i) the applicant applied for Membership after notice of a General Meeting had been given; and

(ii) the General Meeting had not been held when the Board considered the application, then the Corporation must not enter the person on the Register of Members until after the General Meeting has been held.


3.8 Rejected application – applicant to be given notice

Note: See also section 144-10(6) of the CATSI Act

(a) If the Board is not satisfied that an applicant for Membership meets the Membership Criteria, the Board must reject the application.

(b) The Board may refuse to accept an application for Membership even if the applicant has applied in writing and complies with the Membership Criteria.

(c) If the Board rejects an application for Membership, the Corporation must notify the applicant in writing of the decision and the reasons for it as soon as practicable, as required by s.144-10 of the CATSI Act.


3.9 If a rejected application is disputed

(a) If the Board rejects an application for Membership and the applicant disputes the rejection, the applicant may request that their application be considered by the Members at the next General Meeting.

(b) An applicant for Membership is to be given reasonable notice of any General Meeting at which their disputed entitlement to Membership is to be considered.

(c) At a General Meeting at which a disputed entitlement to membership is to be considered, the applicant must be given an opportunity to address the meeting about why he or she is entitled to Membership. Alternatively, if the applicant is not present but has provided a written statement, that statement is to be read aloud.

(d) If a resolution affirming that the applicant meets the Membership Criteria is passed by a majority of the Members present, the applicant is to become a Member and the Directors must ensure that his or her name is entered in the Register of Members. If such resolution is proposed but not passed by a majority of the Members present, the rejection is to be confirmed. If the applicant was not present when the resolution was moved, the Corporation must notify the applicant in writing of the decision.

3.10 The Register of Members

(a) The Corporation must, in compliance with the CATSI Act, have a register of members and a register of former members.

(b) The Corporation must set up and maintain these registers in compliance with sections 180-1 and 180-10 of the CATSI Act.

(c) The Corporation will keep these registers in one document which in these Rules is called the Register of Members.

(d) In relation to each current Member, the Register of Members must record:

(i) the Member’s name (given and family name);

(ii) the Member’s address; and

(iii) the date on which the entry of the Member’s name in the register was made.

(e) In relation to each former Member, the Register of Members must record:

(i) the Member’s name (given and family name) (ii) the Member’s address; (iii) the date on which the Member’s name was removed as a current member of the Corporation and the Member stopped being a Member.

(f) Subject to the CATSI Act, all action taken bona fide in reliance on the Register of Members is valid, even if it is subsequently shown that the Register was defective or inaccurate at the time the CATSI Action was taken.


3.11 Location of, and right to inspect, the Register of Members

Note: See also sections 180-20 and 180-25 of the CATSI Act

(a) In compliance with section 180-20 of the CATSI Act, the Corporation must keep the Register of Members at the Document Access Address.

(b) In compliance with section 180-25 of the CATSI Act:

(i) any person shall be entitled to inspect the Register of Members; and (ii) any Member shall be entitled to inspect the Register of Members without fee.

(c) The Corporation must give a person a copy of the Register of Members (or a part of it) within 7 days (or any longer period that the Registrar may allow) if the person:

(i) asks for the copy; and (ii) pays any fee (up to the prescribed amount) required by the Corporation.



3.12 Making the Register of Members available at the AGM The Corporation must, in compliance with section 180-30 of the CATSI Act:

(a) make the register of Members available for inspection by Members at the AGM; and

(b) ask each Member attending the AGM to check, correct and update their entry.


3.13 Amending details of membership

(a) Any Member may apply to the Corporation to amend the details of their membership of the Corporation as recorded in the Register of Members.

(b) In considering whether to make any requested amendments to a person’s details as recorded on the Register of Members, the Directors may follow the process for considering applications for membership set out in these Rules.

(c) The Corporation must give the Member concerned notice of a decision under this Rule as soon as practicable after the decision is made.


3.14 Provision of Register of Members to Registrar If the Registrar requests a copy of the Register of Members, it must be provided within 14 days or such longer period as the Registrar specifies.


3.15 Ceasing to be a Member?

Note: See also section 150-1 of the CATSI Act

(a) A person ceases to be a Member if: (i) the person dies; (ii) the person resigns as a Member (see Rule 3.16); or (iii) the persons membership is cancelled (see Rules 3.17 to 3.19).

(b) A person ceases to be a Member when the person’s name is removed from the Register of Members as a current member of the Corporation.


3.16 Resigning as a Member

Note: See also section 150-10 of the CATSI Act

(a) A Member may resign as a Member by giving written notice to the Corporation.

(b) Within 14 days of a notice of resignation being received, the Corporation must remove the Member’s name from the Register of Members as a current member, in compliance with section 150-10(4) of the CATSI Act.

3.17 Cancellation where Membership Criteria are not met

Note: See also section 150-30 of the CATSI Act

(a) The Corporation may, by Special Resolution, cancel a Member’s Membership if the General Meeting is satisfied that the Member never has or does not meet the Membership Criteria. (b) A resolution pursuant to Subrule

(a), may only be passed at a General Meeting if:

(i) the Member concerned was given no less than 14 day’s written notice of the proposed resolution, and

(ii) the Member, if present at the General Meeting, was given an opportunity to address the meeting about why his or her Membership should not be cancelled.

(c) If the Membership is cancelled, the Directors must, in compliance with section 150- 30(4) of the CATSI Act, give the Member a copy of the resolution as soon as practicable after the resolution has been passed.


3.18 Cancellation of Membership where Member is not contactable Note:

See also section 150-25 of the CATSI Act

(a) The Corporation may, by Special Resolution, cancel a Member’s Membership if:

(i) the Corporation has not been able to contact that Member at the address for the Member that is entered on the Register of Members; and

(ii) the Corporation has not been able to contact the person at that address for a continuous period of 2 years prior to the meeting; and

(iii) the Corporation has made 2 or more reasonable attempts to otherwise contact the Member during that 2 year period but has been unable to.

(b) If the Corporation does so cancel the Membership, the Directors must, in compliance with section 150-25(4) of the CATSI Act, send the Member a copy of the resolution at the last known address of the Member, as soon as practicable after the resolution has been passed.


3.19 Cancellation of Membership for misbehavior Note: See also section 150-35 of the CATSI Act

(a) The Corporation may, by Special Resolution, cancel a Member’s Membership if the General Meeting is satisfied that the Member has behaved in a manner that significantly interfered with the operation of the Corporation or of Corporation meetings.

(b) If the Corporation does so cancel a Member’s Membership, the Directors must, in compliance with section 150-35(4) of the CATSI Act, give the Member a copy of the resolution as soon as practicable after the resolution has been passed.

3.20 Cancellation to be recorded in Register of Members

Note: See also section 150-15(3) of the CATSI Act Within 14 days after the cancellation of a Member’s Membership, the Corporation must, in compliance with section 150-15(3) of the CATSI Act, remove the Member’s name from the Register of Members as a current Member of the Corporation.

3.21 No Membership fees Note: See also section 144-15 of the CATSI Act The Corporation must not impose;

(a) application fees;

(b) fees for Membership; or

(c) any annual fees.


3.22 Members rights

(a) Each Member has rights under the Act and these Rules including the rights set out below. A Member:

(i) can attend, speak and, depending on the member’s level of rights under Traditional Laws and Customs, participate and be involved in decisionmaking at General Meetings of the Corporation;

(ii) can be appointed as a Director;

(iii) cannot be removed as a Member unless the Directors and the Corporation have complied with Rules 3.17, 3.18, or 3.19;

(iv) can put forward resolutions to be considered at a General Meeting of the Corporation in accordance with Rule 5.11;

(v) can ask the Directors to call a General Meeting of the Corporation in accordance with Rule 5.6;

(vi) can access the following books and records of the Corporation:

(A) the Register of Members, under Rule 3.11;

(B) the Minute Books, under Rule Error! Reference source not found.;

(C) the Corporation’s Rule Book, under Rule 9.11;

(D) certain reports prepared by or for the Directors and the Corporation, in accordance with the Act;

(vii) can ask the Directors to provide access to any other records or books of the Corporation in accordance with Rule 9.10; and

(viii) can have disputes with another Member or with the Directors dealt with under the process in Rule 19.

(b) Members do not have the right to share in the profits of the Corporation or take part in the distribution of the Corporation’s assets if it is wound up.

(c) If a Member believes their rights have been breached or ignored by the Directors, the Member can use the Dispute Resolution Process in Rule 11.

3.23 Members obligations Note: See also sections 147-1 and 147-5 of the CATSI Act Each Member has the following responsibilities: (a) to comply with the CATSI Act and these Rules in relation to the affairs of the Corporation;

(b) to comply with any Meeting Code of Conduct adopted by the Corporation;

(c) to treat other Members and the Directors with courtesy and respect;

(d) not to behave in a way that significantly interferes with the interests or conduct of the Corporation or of Corporation Meetings or of the Kalkadoon People generally;.

3.24 Liability of Members Note: See also sections 147-1 and 147-10 of the CATSI Act The Members are not liable to contribute to: (a) the property of the Corporation on winding up; or (b) the debts and liabilities of the Corporation.
